Agency / Enterprise Font Software License Agreement

This Agency / Enterprise Font Software License Agreement (“Agreement”) is entered into between SAMPLE TYPE (SAMPLE LLC) (“Licensor”) and the purchasing entity (“Licensee”) and governs the use of the font software (“Font Software”). By purchasing, installing, or using the Font Software under this Agreement, Licensee agrees to the following terms.

1. License Grant

SAMPLE TYPE grants Licensee a non-exclusive, non-transferable, worldwide license to install and use the Font Software for internal business purposes and for the creation of work on behalf of Licensee’s clients, subject to the terms of this Agreement.

The Font Software is licensed, not sold. All rights not expressly granted herein are reserved by SAMPLE TYPE (SAMPLE LLC).

2. Permitted Users

The Font Software may be installed and used by:

• Employees of the Licensee
• Contractors and freelancers working directly with the Licensee

Use is limited to the number of users, devices, or seats purchased at the time of licensing.

3. Permitted Uses

Under this Agency License, the Font Software may be used for:

• Brand identities and logos
• Client and internal design projects
• Packaging and physical goods
• Advertising campaigns (print and digital)
• Social media and marketing materials
• Static digital graphics
• Presentation materials
• Editorial and publishing projects

Artwork created using the Font Software may be delivered to clients as outlined, rasterized, or otherwise non-editable assets.

4. Client Ownership & Transfer

Artwork, logos, graphics, and other creative works produced using the Font Software may be delivered to clients as outlined, rasterized, or otherwise non-editable assets.

The Font Software itself may not be transferred, assigned, shared, sublicensed, or provided to any client or third party.

Any client wishing to edit, modify, create new artwork with, or otherwise access the Font Software must obtain its own license directly from SAMPLE TYPE.

5. Campaign & Promotional Use

This license permits use of the Font Software in advertising, promotional, experiential, sponsorship, and event-related materials created by Licensee on behalf of its clients, including:

• Print collateral
• Signage and environmental graphics
• Merchandise not intended for resale
• Vehicle graphics and wraps
• Trade show and event displays
• Static digital marketing assets

Use of static graphics containing the Font Software on websites, landing pages, social media platforms, email marketing, and digital advertisements is permitted, provided the Font Software itself is not embedded, served, distributed, or otherwise made available for use by visitors.

6. Embedding

Embedding in electronic documents such as PDFs is permitted, provided the Font Software is securely embedded and cannot be extracted or independently accessed.

7. Restrictions

Licensee may not:

• Share, sublicense, lend, sell, rent, lease, or redistribute the Font Software
• Provide the Font Software to clients, partners, vendors, or other third parties
• Modify, adapt, reverse engineer, decompile, or create derivative font software
• Use the Font Software in a manner that allows extraction or redistribution
• Use the Font Software in templates, products, or systems intended for resale where end users may access the Font Software
• Convert the Font Software into another format for distribution or resale

8. Web, App & Software Use

Website usage is permitted under this Agreement.
The Font Software may be used on websites owned or operated by the Licensee or its clients, including self-hosted webfont implementations and standard website typography, provided such use is limited to marketing, informational, editorial, and promotional websites.

This Agreement does not include:

• App or software embedding
• SaaS platforms or web-based software products
• Electronic products
• OEM distribution
• Products or services where end users directly access, manipulate, or interact with the Font Software
Such uses require a separate license from SAMPLE TYPE.

9. Broadcast, Film & Streaming Use

This Agreement does not include broadcast graphics packages, television programming, streaming content, motion graphics systems, film productions, or similar uses where the Font Software is distributed as part of a production workflow.

Such uses may require a separate license.

10. Ownership

The Font Software is licensed, not sold.

All rights, title, ownership, copyrights, trademarks, and intellectual property rights in and to the Font Software remain the exclusive property of SAMPLE TYPE (SAMPLE LLC).

11. Reserved Rights

SAMPLE TYPE reserves the right to require a custom license for uses that exceed the scope reasonably contemplated by this Agreement, including but not limited to:

• Enterprise-wide deployments
• Software products
• OEM distribution
• Broadcast packages
• Mass-market consumer products
• Event activations and experiential marketing campaigns
• High-volume commercial applications

12. Termination

Failure to comply with this Agreement may result in termination of the license upon written notice from SAMPLE TYPE if the violation is not remedied within thirty (30) days.

Upon termination, Licensee must cease all use of the Font Software and delete all copies in its possession or control.

13. Limitation of Liability

The Font Software is provided “as is” without warranty of any kind.

In no event shall SAMPLE TYPE (SAMPLE LLC) be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the Font Software.
